IN THE MATTER  of the Charitable Trusts Act 1957
AND
IN THE MATTER of HARE KRISHNA FOOD FOR LIFE NORTHLAND CHARITABLE TRUST

THIS DEED OF TRUST made the 28th  day of  November 2011.
WHEREAS
1. BARRY NEIL WILCOX  has resolved to establish a Charitable Trust for the purposes set out hereunder.
2. The Trust is to be know as the Hare Krishna Food For Life Northland Charitable Trust.
3. It has been further resolved that the Trust shall be incorporated as a Board under the Charitable Trusts Act 1957 and subsequent amendments.
4. The sum of ten dollars has been given by BARRY NEIL WILCOX of Whangarei to be held upon the Trusts set out in the Deed.
5. The operation of the Trust shall be in accordance with the provisions of this Deed.
6. It has been further resolved that the following persons be initial trustees:

1. THE Trustees shall hold the sum of TEN DOLLAR ($10.00) upon the trusts hereinafter set forth in Appendices “A” and “B” attached hereto and forthwith upon the execution of these presents shall apply to the Registrar of Incorporated Societies, Auckland pursuant to the provisions of Part 2 of the Charitable Trusts Act 1957 for incorporation as a Board under the name of HARE KRISHNA FOOD FOR LIFE NORTHLAND CHARITABLE TRUST (hereinafter referred to as “the Board”).

2. THE Power to appoint additional Trustees shall be vested in the Trustees for the time being surviving the date of any such new appointment or in the personal representative of the last surviving trustee in accordance with the provisions of the Trustee Act 1957 PROVIDED ALWAYS  that the number of trustees shall not be more than five (5) nor fewer than two (2).

3. THE office of Trustee shall become vacant if
    a)  he/she shall resign verbally or in writing or
            b)  he/she shall become unfit or incapable of so acting or refuses to so act;  o/she shall be absent
c) he/she shall be absent from New Zealand for a period of twelve months without obtaining leave of absence from the other trust members;  or
d) he/she shall die;  or
          e)  by a consensus decision of the Trust if he/she is deemed to have failed to fulfill  the             duties of trusteeship.

4. ANY Trustee employed in connection with the trusts hereof may be paid all such remuneration for his/her services as may be normal as if he/she had been employed in that behalf and has not been a Trustee hereof PROVIDED THAT no such remuneration shall be paid in connection with any business by or on behalf of or for the benefit of the Trust Board to any person who is:
a.)  A settlor or trustee of the Trust;  or
b.)  A shareholder of director of any company by which the business is carried on;  or
c.)  A settlor or Trustee of a Trust that is a shareholder of any company by which the business is carried             on;  or  
d)  Where that person and that settlor or Trustee or shareholder of director referred to in any of the foregoing paragraphs of this proviso are associated persons (as that term is defined in the Income Tax Act 1976 for work done or services provided in connection with any such business nor shall, in the carrying on of any such business any benefit or advantage, whether or not convertible into money or any income of any of the kinds referred to in Section 65(2) of the Income Tax Act 1976 be afforded to, received, gained, achieved or derived by any such person where that person is able, by virtue of their capacity  as settlor or Trustee or shareholder or director or associated person,  in any way (whether directly or indirectly) To determine or to materially influence in any way the determination of, the nature or amount of that benefit or advantage of that income or circumstances in which it is or is to be so received, gained, achieved, afforded or derived PROVIDED FURTHER THAT the provision of the immediate preceding proviso shall not prevent any person who renders, in the course of and as part of carrying on as a business of a professional public practice by that person, professional services to the Trust or to any company by which the business is carrying on being entitled to be paid all usual professional charges for such services.

APPENDIX A

(To be adopted by the Trust upon incorporation of the HARE KRISHNA FOOD FOR LIFE NORTHLAND  CHARITTABLE TRUST)

THE OBJECTS and purposes for which the Trust is established within New Zealand are as follows:

1. The objects of the project is (shall be )- for the purpose of providing predominantly charitable, but also spiritual, health, educational and social services for the benefit of the community.

    a)  To co-ordinate, conduct and promote efforts as are necessary (in the discretion of the trustees) for the provision of food, clothing and temporary shelter to persons in need.

    b)  To provide assistance and promote education in the areas of health, nutrition and basic living skills.

c) To seek and help obtain resources to encourage any person needing help to promote their welfare.

                  d)  To obtain the means that would enable achieving the projects and objectives through the services, programs and activities provided by the Trust.

          e)  To provide education, support and advice for people who are seriously in need through social, cultural, and economic problems.

          f)  To liaise with any Organization, Body or Agency in New Zealand on issues relevant and       beneficial to people in need as well as in relation to the Trust's projects.

         g)  To advocate for people in times of crisis.

         h)  To support and advise the disadvantaged as to food, health, shelter and clothing and other basic living needs and skills of people who are disadvantaged from lack of support, resources and /or the ability to maintain themselves.  

i) To do all such other matters and services as are necessary, incidental or conducive to attainment of aforementioned objects.

        j)  To be obligated to carry out whatever else is legally necessary for the growth and promotion of the Trust.    

       k)  To ensure that ongoing funding is provided in order to achieve  the above objects including to seek, accept and receive donations, subsidies, grants, endowments, gifts, legacies, loans and bequests either in money or in kind or partly in money and partly in kind for all or any of the purposes and objects of the Trust and to carry out any specified trust or purposes and attaching to or relating to the same.

THE POWERS and authorities which the Trust may exercise in order to carry out it's objects and purposes are as follows:

2.   COLLECTIVE OR TRUST FUNCTIONS

2.1 To ensure that the stated objects of the Trust are put into practice.
2.2 To call General Meetings, including an Annual General Meeting.
2.3 To keep the accounts of the Trust which the administrator will present for approval at the Annual General Meeting.
2.4 To keep a Register of the Collective Members/Trustees which is to be presented at the Annual General Meeting.
2.5 To authorize all functions of the Trust.
2.6 To employ any persons in the operation of the Trust as the Trust may think fit and as such remuneration for services rendered as is reasonable for that particular work PROVIDED THAT no distribution of any remaining profits shall be made to members for the Collective or Trust.

3. PUBLICITY

3.1 To adopt such means of making known the activities and objects of the Trust as may seem expedient and in particular periodicals, brochures, maps and any printed and illustrative material whatsoever, and by contributions to the press, periodicals and books, and also by films and other means approved by the Trust.
3.2 To print, publish, distribute and sell any books, articles, research monographs, pictures, photographs, maps and any other works upon such terms and conditions agreed with the authors thereof as the Trust may think fit and to commission and make grants to authors at the discretion of the Trust.
3.3 To make such charges for admission to property held by the Trust and to exhibitions, displays, lectures, films and other educational services arranged by the Trust that the Trust may deem reasonable.

4. PROPERTY

4.1 To purchase, take on, lease or as a gift or on loan or otherwise whosoever to acquire and hold on the Trusts hereof land.
4.2 To purchase, take as gift or on loan or otherwise howsoever acquire chattels of any kind whatsoever and hold the same upon the Trusts hereof.
4.3 To lease, let or grant the use of land and/or buildings or parts thereof held by the Trust on limited terms of any lawful purpose in furtherance of the objects of the Trust and apply the rents, commission or other payment whatsoever accruing to the objects of the Trust.
4.4 To sell, demolish or otherwise dispose of any real or personal property vested in the Trust but only in furtherance of the Trusts hereof.
4.5 To construct, alter, restore, improve, maintain, develop, work, manage, carry out or control any buildings or works or do anything whatsoever as the Trust may deem necessary or convenient or calculated to advance directly or indirectly the objects of the Trust and to develop, lay out and plant any land and to prepare the same for building and any other purposes consonant with the objects of the Trust and to do or cause to be done all matter ancillary thereto and to enter into contracts and arrangements of all kinds with architects, builders and others.



5. FINANCE AND INVESTMENT

5.1 To lend money to any person, body or society whether incorporated or not on such terms as the Trust may think fit and to guarantee the performance of such contracts by such persons but only in furtherance of the objects of the trust.
5.2 To borrow from time to time at the discretion of the Trust for the purposes of the Trust from any person, body or society whether incorporated or not any sum or sums of money on the security of all or any of the Trust's property real or personal assets and effects both present and future either under legal mortgages or charges with powers or sale and other usual powers or by any other securities of the Trust or without security and generally on such terms and conditions as to rate of interest or otherwise as the Trust thinks fit and the Trust may also borrow money from the Trust's bankers on overdraft or otherwise and with or without security.
5.3 To invest subject to the terms of any trust or grant or endowment any money held by or on behalf of the Trust in any securities in which trust funds may be invested by trustees in accordance with the Trustee Act 1956 or any other statutory authority or in such other manner as the Trust may approve pending disbursement of any money held by or on behalf of the Trust to deposit the same subject as aforesaid so as to yield interest in such manner as the Trust may approve.
5.4 To draw, make, accept, endorse, discount, execute and issue promissory notes, bills or exchange of lading warrants, debentures and other negotiable or transferable instruments.

6. GENERAL POWERS

6.1 To enter into any arrangement with any Government or Authorities supreme municipal, local or otherwise that may seem conducive to the Trust's objects or any of them and to obtain from any such Government Authority any rights, privileges and concessions which the Trust may think it desirable to obtain and to carry out exercise and comply with any such arrangements, rights, privileges and concessions.
6.2 To obtain any provision, order or Act of Parliament or Town Planning ordinance, classification, designation or objects or for any other purpose which in the opinion of the Trust is directly or indirectly conducive to the carrying out of the object of the Trust and to oppose any proceedings, applications, classification, designations, orders, Acts, ordinances or by-laws which may seem to the Trust to be likely directly or indirectly to prejudice or injure the interests, objects and purpose of the trust.
6.3 To promote any other society, trust, association or institution for the purpose of acquiring or taking over all or any of the property rights and liabilities of the Trust or for any other purpose which may seem directly or indirectly calculated to benefit the Trust and to further or more effectively carry out its objects provided that the objects and purposes of such society, trust, association or institution are wholly charitable.
6.4 To co-operate with, amalgamate with or absorb any other society trust or institution whether incorporated or not whose objects are altogether or in part similar to those of this Trust and to procure form or communicate to such society, trust or institution such information as may be likely to forward the objects of this Trust.





APPENDIX “B”

(To be adopted by the Trust upon incorporation of the HARE KRISHNA FOOD FOR LIFE NORTHLAND  CHARITABLE TRUST)

RULES

1. FUNDS AND PROPERTIES
    
1.1 The funds and property vested in the Trust shall be administered by the Trust members in accordance with these rules.
1.2 All moneys received shall be paid to the credit of the Trust at such trading bank or savings bank as the Trust members shall from time to time appoint and cheques on the bank account and other negotiable instruments in favour of the Trust shall be made by a Trust member or by the Secretary or the Treasurer or such other person as may be appointed by the Trust members.
1.3 The Secretary or the Treasurer shall have power to receive and give receipt for all legacies, donations, subscriptions or other moneys bequeathed , made, given or lent to the Trust members and every such receipt shall be an effective discharge for the money or other property therein stated to have been received.
1.4 No part of the income or property of the Trust shall be paid or transferred directly or indirectly by way of profit to any trust member PROVIDED THAT nothing herein contained shall preclude any payment to a Trust member for services rendered or for goods supplied or by way of interest on moneys borrowed from or by way of rent for premises let or leased to the Trust by any Trust member.

2. CONSTITUTION OF THE TRUST

2.1 The original Trust members shall be the Trustees named in the Deed of Trust of which this Appendix “B”, is an annexure.
2.2 Vacancies in membership of the Trust shall be filled by the remaining Trust members who shall have regard to the need to appoint persons interested in the Trust's objects and capable of assisting the Trust to carry out its objects by their skill, expertise, profession, standing in the community or other qualification.
2.3 The office of the Trust members shall become vacant if:
2.3.1 he/she shall resign office, verbally or in writing or
2.3.2 he/she shall become unfit or incapable of so acting or refuses to so act or
2.3.3 he/she shall be absent from New Zealand for a period of twelve months without obtaining leave of absence from the other Trust members or
2.3.4 he/she shall die
2.3.5 by a consensus decision of the Trust if he/she is deemed to have failed to fulfill the duties of the trusteeship.



3. POWERS OF TRUST MEMBERS

            The Trust members shall be responsible for the management of all affairs of the Trust and may         exercise all the powers and authorities conferred by this deed or by law.

4. PROCEEDINGS OF TRUST MEMBERS

4.1 Subject to the subsequent provisions of this Clause 4 the Trust Members shall meet together for the dispatch of business adjourn and otherwise regulate their meetings as they think fit.
4.2 Meetings will ensure that the Collective/Trust members are accountable to the philosophy of the Hare Krishna Food For Life Trust.
4.3 Questions arising at any meeting shall be decided by Consensus or if that fails by a majority of votes.  Any Trust member may at any time summon a meeting of the Trust members.  It shall not be necessary to give notice of a meeting of the Trust members to any Trust member for the time being absent from New Zealand.
4.4 The quorum necessary for the transaction of the business of the Trust members shall be two.
4.5 Meetings are open to all members of the Trust/Collective.
4.6 The continuing Trust members may act notwithstanding any vacancy in their body but if and so long as their  member is reduced below the member fixed by or pursuant to the regulations of the Trust as the necessary quorum of members the continuing member of members may act for the purpose of increasing the member of members to that number but for no other purpose whatsoever.
4.7 The Trust members may at any meeting appoint two or more members of their body to be a committee for making any enquiry or for superintending or transacting any business but every act and proceeding of a committee shall be submitted to a meeting of Trust members for approval.  Any committee of Trust members may co-opt for the purposes of consultation and advise persons who are not members of the Trust  and may terminate such co-option.
4.8 A committee may meet and adjourn as it thinks proper. Questions arising at any meeting shall be determined by a Consensus or if that fails, a majority of votes of the Trust Members present.
4.9 A resolution in writing signed by all the Trust members for the time being entitled to receive a notice of a meeting of Trust members shall be as valid and effectual as if it had been passed at a meeting of Trust members duly convened and held.  Any such resolution may consist or several documents in like form each signed by one or more Trust member.
4.10 The financial year of the Trust shall end on the 31st day of March in each year.
4.11 In the month of April in each year or such other month as the Trust may from time to time determine the Trust members shall hold the annual general meeting of the Trust.  The business of the annual general meeting shall be:

4.11.1 To receive and consider the Annual Report
4.11.2 To receive consider and adopt the Income and Expenditure Account and Balance    Sheet and
4.11.3 To appoint Trust members without prejudice to the power of the Trust to appoint         Trust members at other meetings of the Trust and
4.11.4 To elect an Auditor and
4.11.5 To consider any resolution notice of which shall have been given to the Secretary at least 14 days before the date of the meeting.



4.12 A meeting of the Trust members may be recalled at any time by direction of the Chairperson or of two Trust members and shall be called within 14  days after receipt by the Secretary of a requisition signed on that behalf.
4.13 Notice in writing of all meetings of Trust members specifying the object or objects of such meeting shall be posted by the Secretary to the Trust members at least seven days prior to the date fixed for the holding of any meeting, PROVIDED THAT  by agreement of Trust members notice may be given orally.
 
5. MINUTE BOOK

All proceedings of Trust members shall be recorded in the form of minutes entered in a proper Minute Book.

6. ADMINISTRATOR AND CLERICAL STAFF

An Administrator may be appointed by the Trust members for such at such remuneration (if any) and upon such conditions as they think fit and the Administrator so appointed may be removed by them.

6.1 The functions of the Administrator and Clerical Staff shall be as follows:
6.1.1 To carry out administrative, financial and liaison functions.
6.1.2 To act on decisions of group meetings and to accept, raise, conduct such appeals for and hold such funds as the Trust deems necessary to carry out the objects of the Trust.
6.1.3 To act on decisions of group meetings and acquire, hold and convey property.
6.1.4 To receive money on behalf of the Trust and to keep accounts.  Such moneys will be held in bank accounts as set out in Rule 1.2 herein.

7. THE SEAL

The Trust members shall have the safe custody of the Common Seal and the Trust members may from time to time by resolution alter or adopt any new such seal they may deem proper.  The Common Seal shall not be affixed to any document except by the authority of the Trust members previously given and shall be so affixed in the presence of two Trust members who shall affix their signatures to every document sealed.

8. INDEMNITY

The Trust members, Administrator and other officers if any shall be indemnified by the Trust form and against all losses and expense properly incurred by them in or about the discharge of their respective duties.

9. AUDITOR

The account of the Trust shall be audited by a Chartered Accountant who shall not be a member of the Trust and who shall be appointed annually by a majority of Trust members.

10. ACCOUNTS

The trust members shall cause proper books of account to be kept in which shall be kept full, true and complete accounts of the affairs and transactions of the Trust.  The books of account shall be kept at the Trust's office or at such other place or places as the Trust members think fit and shall always be open to the inspection of any Trust member.

11. ALTERATION AND ADDITIONS TO THE RULES  (see8, 9 and 10)

These rules may be altered or added to at any meeting of the Trust subject to the following conditions:

11.1 Notice in writing of the proposed alterations or additions to the Rules shall be given to each Trust member not less than 7 days before a meeting to discuss any such alteration and to the Registered Office of the Trust not less than 14 days before the submission of any such alteration or verbally to one of the members of the Trust.
11.2 The meeting may amend any such proposals.
11.3 No resolution of any meeting shall effect any alteration or addition to the Rules unless it be carried by consensus or by unanimous vote.
11.4 No  alteration or addition shall be made to these rules that is in conflict with:
11.4.1 the objects and powers of this Trust
11.4.2 the Charitable Trusts Act 1957
11.4.3 the conditions of any exemption from taxation as granted by the Department of Inland Revenue at any time.

11.5 That any trustee for the time being hereof being a solicitor, accountant or other person engaged in any profession, business or trade shall be entitled to be paid all usual professional, business and trade charges for business transacted time expended all acts done by him/her or any employee or partner of his/hers in connection with the trusts hereof including acts which a trustee not being in any profession, business or trade could have done personally.

12. WINDING UP

In the event of the Trust being wound up any surplus assets after payment of the Trust's liabilities and expenses of winding up shall be given to the International Society for Krishna Consciousness Northland Inc (Iskcon).

12.1 The Hare Krishna Food For Life Northland Charitable Trust may be wound up at any time by a resolution passed by a Trust Meeting called for that purpose, provided that not less than 30 days notice of that resolution shall have been given to each Member.
12.2 Upon the dissolution, any property of Hare Krishna Food For Life Northland Charitable Trust shall be transferred to The International Society for Krishna Consciousness Northland Inc (Iskcon).

CONSTITUTION
OF
HARE KRISHNA FOOD FOR LIFE NORTHLAND CHARITABLE TRUST


NAME:

1. The name of the project shall be HARE KRISHNA FOOD FOR LIFE NORTHLAND CHARITABLE TRUST  herein known as the Northland branch of the “Hare Krishna Food For Life Global”organization.

OBJECT:

2. The Trust has been established for the following objects within New Zealand.  Such objects shall be for the purpose of providing predominantly charitable, but also spiritual, health, educational and social services for the benefit of the community within New Zealand.

MEMBERSHIP:

3.1 The project shall consist of (3) three member Committee who is responsible for selection of Committee members.
3.2 A co-ordinator to be selected by the committee.
3.3 Any other person interested to be a member must be considered by the committee.

CESSATION:

4.1 A majority of Trustee members of the Committee has the right to terminate membership of Trustee members.
4.2 The majority of the Trustee members has the right to terminate any other members services or membership.

MEETINGS:

5.1 Committee shall meet once a month every month of the year and one to be the Annual General Meeting.
5.2 There shall be no meeting without a Trustee member.
5.3 The Annual General Meeting must be notified giving 14 days notice and must be done before 31 May each year.  Audited accounts must be presented at the Annual General Meeting.
5.4 Special meetings may be called by a Trustee member at any time on 7 days notice.
5.5 The selection of Officers shall occur every 2 years at least.

VOTINGS:

6. Voting on motion to be on only the voices.

FINANCE:

7.1 The project shall elect a financial person who shall be responsible to the Committee.
7.2 All monies are to be banked in project account.
7.3 A financial report must be presented every 3 months to the Committee.

CONSTITUTION:

8.1 The constitution shall not be affected or amended unless there is a need supported by the majority of the Committee and
8.2 The Trustee members must be in the majority.

DISSOLUTION:

9.1 In the event of the Trust being wound up any surplus assets after payment of the Trust's liabilities and expenses of winding up shall be given to International Society for Krishna Consciousness Northland Inc (ISKCON)
9.2 The Hare Krishna Food For Life Northland Charitable Trust may be wound up at any time by a resolution passed by a Trust Meeting called for that purpose, provided that not less than 30 days notice of that resolution shall have been given to each member.
9.3 Upon the dissolution, any property of Hare Krishna Food For Life Northland Charitable Trust shall be transferred to International Society for Krishna Consciousness Northland Inc (ISKCON).

CONTROL  AND USE OF COMMON SEAL:

10.1 Hare Krishna Food For Life Northland Charitable Trust common Seal is the seal and is held and controlled by the Committee of Trustees.  The Common Seal shall not be affixed to any document except by the authority of the trust members previously given and shall be so affixed in the presence of two Trust members who shall affix their signature to every document sealed.
10.2 Approval to use Hare Krishna Food For Life Northland Charitable Trust name for any purpose must first be obtained and verified by the majority of Trustees.

THIS DEED WITNESSES   that the Trustees DO HEREBY DECLARE AS FOLLOWS:

1. INTERPRETATION

1.1 “Trust” and “Board” shall mean the Hare Krishna Food For Life Northland Charitable Trust.
1.2 “Member” shall mean a person who has been admitted to membership of the Trust according to the rules and constitution of the Trust.
1.3 “Trustee” shall mean any elected, ex-officio or co-opted Trustee of the Trust for the time being and “Trustees” shall have a corresponding meaning.
1.4 “Committee”  shall mean the Board of Trustees.

2. OBJECTS OF THE TRUST

The Trust has been established for the following objects within New Zealand.  Such objects shall be for the purpose of providing predominantly charitable, but also spiritual, health, educational and social services for the benefit of the community.

a.)  To co-ordinate, conduct and promote efforts as are necessary (in the discretion of the trustees) for the provision of food, clothing and temporary shelter to persons in need.

b.)   To provide assistance and promote education in the areas of health, nutrition and basic living skills.

c.) To seek and help obtain resources to encourage any person needing help to promote their welfare.
d.) To obtain the means that would enable achieving the projects and objectives through the services, programmes and activities provided by the Trust.
e.)  To provide education, support and advice for people who are seriously in need through social, cultural, and economic problems.

f.)  To liaise with any Organization, Body or Agency in New Zealand on issues relevant and beneficial to people in need as well as in relation to the Trust's projects.

g.)  To advocate for people in times of crisis.

h.)  To support and advise the disadvantaged as to food, health, shelter and clothing and other basic living needs and skills of people who are disadvantaged from lack of support, resources and /or the ability to maintain themselves.

I.) To do all such other matters and services as are necessary, incidental or conducive to attainment of aforementioned objects.

j.)  To be obligated to carry out whatever else is legally necessary for the growth and promotion of the Trust.

k.)  To ensure that ongoing funding is provided in order to achieve the above objects including to seek, accept and receive donations, subsidies , grants, endowments, gifts, legacies, loans and bequests either in money or in kind or partly in money and partly in kind for all or any of the purposes and objects of the Trust and to carry out any specified trust or purposes and attaching to or relating to the same.


3. CREATION OF TRUST FUND

The Trustees will hold the said sum of ten dollars and all other property which any person shall at any time or from time to time hereafter transfer or hand over to them and /or which they may hereafter receive or acquire in their capacity as Trustees of this Trust and the proceeds of the sale or conversion thereof and all investments for the time being representing the same or any part thereof all of such property proceeds and investments and the income thereof being hereinafter referred to as the “Trust Fund” UPON TRUST to devote or apply the same to or for the objectives specified in clause 2 hereof.
